BY USING OUR WEBSITE YOU AGREE TO THESE TERMS – PLEASE READ THEM CAREFULLY

1. Introduction: These Terms of Use for all Users govern your use of Stockvise and your agreement with us.

2. Interpretation: In the Terms of Service:
 

  • we refer to our website as "Stockvise", including when accessed via the URL www.stockvise.com;
     
  • references to "we", "our", "us" are references to Stockvise;
     
  • "Content" means any material uploaded to Stockvise by any User (whether a Creator or a Subscriber), including any photos, videos, audio (for example music and other sounds), livestream material, data, text (such as comments and hashtags), metadata, images, interactive features, emojis, GIFs, memes, and any other material whatsoever;
     
  • "Creator" means a User who has set up their Stockvise account as a Creator account to post Content on Stockvise to be viewed by other Users;
     
  • "Subscriber" means a User who follows a Creator and is able to view the Creator's Content;
     
  • "Subscriber/Creator Transaction" means any transaction between a Subscriber and a Creator on Stockvise by which access is granted to the Creator's Content including in any of the following ways: (i) a Subscription, (ii) payments made by a Subscriber to view a Creator's pay-per-view Content (pay-per-view media and pay-per-view live stream), and (iii) use by the Subscriber of the Subscriber interaction function on a Creator's account;
     
  • "Subscriber Payment" means any and all payments made by a Subscriber to a Creator (i) in connection with a Subscriber/Creator Transaction, or (ii) by way of a tip for a Creator;
     
  • "Referring User" means a User who participates in the Stockvise Referral Program;
     
  • "Standard Contract between Subscriber and Creator" means the terms which govern each Subscriber/Creator Transaction, which can be found here;
     
  • "Subscription" means a Subscriber's subscription to a Creator's account (whether paid or unpaid, and whether for one month or as part of a bundle comprising a subscription for more than one month);
     
  • "Terms of Service" (also called "your agreement with us") means the legally binding agreement between you and us which consists of: (i) these Terms of Use for all Users, (ii) Terms of Use for Subscribers, (iii) Terms of Use for Creators, (iv) Privacy Policy, (v) Acceptable Use Policy, (vi) Referral Program Terms, (vii) Complaints Policy, (viii) Platform to Business Regulation Terms; and (ix) Community Guidelines;
     
  • "United Kingdom" means the United Kingdom of Great Britain and Northern Ireland; and
     
  • "User" means any user of Stockvise, whether a Creator or a Subscriber or both (also referred to as "you" or "your").

3. Description of Service

Stockvise is a platform that allows creators to upload and distribute their content to their subscribers. Creators can set their own prices and subscription rates for their content, and subscribers can access exclusive content from their favorite creators.


4. Eligibility

To use our platform, you must be at least 18 years of age and have the legal capacity to enter into contracts. If you are accessing or using our platform on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
 

5. Content Guidelines

You are solely responsible for the content you upload to our platform. By uploading content, you represent and warrant that:

  • You have all necessary rights, licenses, and permissions to use and distribute the content;
     
  • The content does not violate any laws or infringe upon any third-party rights, including intellectual property rights;
     
  • The content is not obscene, defamatory, discriminatory, or otherwise offensive.

We reserve the right to remove any content that violates these guidelines or that we determine, in our sole discretion, to be inappropriate or harmful.


6. Fees and Payment

Creators can set their own prices and subscription rates for their content. We will deduct a platform fee from the subscription and content fees paid by subscribers. We may change our platform fees at any time, but we will provide notice of any changes.

Creators will be paid for their content and subscription fees based on the payment schedule set forth on our platform. We reserve the right to withhold payments or terminate accounts if we suspect fraudulent or illegal activity.

7. Termination

We may terminate your access to our platform at any time and for any reason, including if you violate these Terms. You may also terminate your account at any time by following the instructions on our platform. Upon termination, you will no longer have access to the content you uploaded to our platform.


8. Intellectual Property

All content uploaded to our platform is the property of the creator who uploaded it. Creators retain all ownership rights to their content, subject to the licenses granted to us and our subscribers under these Terms.


9. Limitation of Liability

We are not responsible for any damages or losses resulting from your use of our platform, including any direct, indirect, incidental, special, or consequential damages. Our liability is limited to the amount of fees paid to us by you in the 12 months preceding the event giving rise to the claim.


10. Indemnification

You agree to indemnify and hold us and our affiliates, officers, agents, and employees harmless from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of our platform or your breach of these Terms.


11. Governing Law

These Terms will be governed by and construed in accordance with the laws of [insert governing law]. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of [insert jurisdiction].


12. Changes to these Terms
